These General Terms and Conditions (AGB) apply to all contracts regarding the "Grid Accelerator" methodology and related audit products.
The Provider offers methodological optimization and technical audits based on pre-established, independent research. The purpose is to accelerate grid connection processes through process innovation and geospatial optimization.
These terms are designed to ensure professional neutrality and the protection of independent intellectual property.
2. Definition of "Prior IP" (Intellectual Property)
All methodologies, algorithms, and frameworks utilized in the Grid Accelerator are the exclusive property of the Provider and were established prior to the current engagement.
Technical Pillar: The multi-objective geospatial optimization pipeline (NSGA-II) as validated in the IEEE ETECOM 2025 publication.
Process Pillar: The BPMN 2.0 transformation frameworks and RACI matrices developed during the M.Sc. Engineering Management (Arden University) research.
The Client is granted a non-exclusive, non-transferable license to use the results of the specific audit report for the intended project only.
3. Scope of Services & Productization
The Provider delivers a Standardized Audit Dossier or Process Playbook. Services are provided as a fixed-output product, not on an hourly labor basis.
The analysis is conducted using the Provider’s proprietary toolchain (Python, PowerFactory API, Pandapower) and is based on public VDE/BDEW regulatory standards.
The Provider does not provide legal advice or final regulatory certification. The output is a technical recommendation to support the Client’s compliance efforts.
4. Independence & TSO Neutrality Disclosure
The Provider maintains a strict professional firewall. No proprietary data, internal scheduling, or non-public network information from any Transmission System Operator (TSO) is utilized in the performance of these audits.
All consulting is restricted to Medium and Low Voltage (MV/LV) distribution interfaces. There is no overlap with transmission-level (EHV) grid operations.
The Provider remains neutral toward all market participants (DSOs, CPOs, Manufacturers). Recommendations are strictly data-driven and methodology-based.
5. Data Protection & GDPR (DSGVO)
The Provider adheres to the General Data Protection Regulation (DSGVO).
Data uploaded for the "Grid Integrity Scan" (e.g., BDEW XML, CIM files) is processed solely for the purpose of the audit.
All technical data is encrypted and deleted from the Provider's active processing environment within 30 days of deliverable completion unless otherwise agreed in writing.
6. Professional Liability & Warranties
The Provider maintains professional liability insurance (Berufshaftpflichtversicherung) for engineering consulting.
Liability for financial losses is limited to the total value of the contract, except in cases of gross negligence or intentional misconduct.
The Provider warrants that the methodology follows recognized rules of technology (VDE/IEC) and peer-reviewed scientific standards.
7. Final Provisions
Amendments to this agreement must be made in writing.
The place of jurisdiction is Berlin, Germany.
If any provision of these AGB is found to be invalid, the validity of the remaining provisions shall remain unaffected.
