These General Terms and Conditions (AGB) apply to all contracts regarding the "Grid Accelerator" methodology and related audit products.
The Provider offers methodological optimization and technical audits based on pre-established, independent research. The purpose is to accelerate grid connection processes through process innovation and geospatial optimization.
These terms are designed to ensure professional neutrality and the protection of independent intellectual property.
2. Definition of "Prior IP" (Intellectual Property)
All methodologies, automated workflows, and algorithmic frameworks utilized in The Grid Accelerator™—specifically the multi-objective geospatial optimization pipeline (NSGA-II) and the Python-based automation wrappers for PowerFactory/PSS®E—are the exclusive proprietary assets of the Provider.
The Client is granted a non-exclusive license to use the final audit outputs for the designated project site only.
3. Scope of Services & Technical Benchmarks
The Provider delivers a fixed-output Standardized Audit Dossier. This dossier provides technical verification of "fitness for purpose" against 2026 grid codes, including but not limited to:
Dynamic Stability: 0.2 pu deep-sag VRT compliance.
Grid-Forming Response: Synthetic inertia/Momentanreserve response times <10ms.
Model Accuracy: Validation of Electromagnetic Transient (EMT) models for Inverter-Based Resources (IBRs).
4. Independence & TSO Neutrality Disclosure
The Provider maintains a strict professional firewall. No proprietary data, internal scheduling, or non-public network information from any Transmission System Operator (TSO) is utilized in the performance of these audits.
All consulting is restricted to Medium and Low Voltage (MV/LV) distribution interfaces. There is no overlap with transmission-level (EHV) grid operations.
The Provider remains neutral toward all market participants (DSOs, CPOs, Manufacturers). Recommendations are strictly data-driven and methodology-based.
5. Data Retention & NERC Lifecycle Compliance
Data uploaded for the "Grid Integrity Scan" is processed for technical validation.
To support the NERC MOD-026-2 Requirement R4 (180-day update window for facility modifications), the Provider offers an optional Extended Governance retention period of 180 days.
Absent this election, data is purged within 30 days of deliverable completion to ensure GDPR compliance.
6. Professional Liability & LoD2 Assurance
The Provider maintains specialized Berufshaftpflichtversicherung tailored for engineering automation.
This service acts as Line of Defence 2 (LoD2) Assurance, providing independent technical oversight similar to the "Intelligent Customer" oversight models utilized by Great British Energy for national infrastructure.
Liability is limited to the contract value except in cases of gross negligence.
7. Payment Terms & Milestone Acceptance
Services are billed on a fixed-output basis. Payment is due within 14 days of milestone achievement as defined in the Standardized Audit Dossier scope.
Milestone Structure (30-50-20): 30% upon completion of Grid Environment Mapping; 50% upon delivery of the draft Audit Dossier; 20% upon formal sign-off or expiry of the 5-business-day Cure Window.
Acceptance: The Client has 5 business days to review deliverables. If no written Cure Request is submitted, the milestone is deemed accepted.
Invoices are issued electronically in the Partner Portal. Payments not received by the due date may result in the automatic suspension of LivingTwinVault access.
8. Liability & LoD2 Assurance
The Provider's service constitutes LoD2 Technical Assurance. The Client remains the "Intelligent Customer" responsible for final regulatory submissions.
Liability for financial losses is limited to the total contract value, except in cases of intentional misconduct, gross negligence, or mandatory statutory requirements.
9. VAT & Tax Residency
All prices are net plus the applicable statutory value-added tax (currently 19% Umsatzsteuer in Germany).
For cross-border EU transactions, the Reverse Charge mechanism applies (UStG §13b). The Client must provide a valid USt-IdNr. Invoices are issued by the 15th of the month following service completion.
Electronic delivery: Invoices are deemed delivered once made available in the Partner Portal, in accordance with 2026 electronic notification standards.
10. Final Provisions
Amendments to this agreement must be made in writing.
The place of jurisdiction is Berlin, Germany.
If any provision of these AGB is found to be invalid, the validity of the remaining provisions shall remain unaffected.
